1. Agreement to Terms
By accessing or using any products or services provided by AdamEtherzLab ("Company," "we," "us," or "our"), including but not limited to ComplianceOS, CorrosionIQ, DispatchIQ, BookingBlitz, ReviewShield, BidForge, RetentionLoop, and CashFlowGuard (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and AdamEtherzLab.
2. Description of Services
AdamEtherzLab provides AI-powered business software tools designed for service contractors, industrial facilities, dental/medical practices, and other businesses. Our Services include cloud-hosted software platforms accessible via web browser, APIs, and integrations with third-party systems.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.
3. Account Registration
- You must provide accurate, complete, and current information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
- You must be at least 18 years old to create an account.
- One person or entity may not maintain more than one free account.
4. Payment Terms
4.1 Subscription Fees
- Services are offered on a monthly subscription basis at the prices listed on our website.
- All fees are quoted in US Dollars (USD) and are exclusive of taxes.
- Payment is due at the beginning of each billing cycle.
- Subscriptions automatically renew unless cancelled before the renewal date.
4.2 Refunds
- We offer a 14-day money-back guarantee for new subscriptions.
- Refund requests after the 14-day period will be evaluated on a case-by-case basis.
- No refunds are provided for partial months of service.
4.3 Price Changes
We may change our prices at any time. Price changes will take effect at the start of the next billing cycle following 30 days' notice via email.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Upload or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or disassemble any part of the Services
- Use automated tools to scrape, crawl, or extract data from the Services beyond API rate limits
- Resell, sublicense, or redistribute the Services without written authorization
- Use the Services for any illegal, harmful, or fraudulent purpose
- Interfere with or disrupt the integrity or performance of the Services
- Store or transmit content that infringes intellectual property rights
6. Intellectual Property
6.1 Our Property
The Services, including all software, designs, text, graphics, interfaces, and underlying technology, are the exclusive property of AdamEtherzLab and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you ownership of the Services.
6.2 Your Data
You retain all ownership rights to data you upload to the Services ("Your Data"). You grant us a limited, non-exclusive license to use Your Data solely to provide and improve the Services. We will not use Your Data for any other purpose without your consent.
6.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Services may be used by us without obligation or compensation to you.
7. Data Protection
Our handling of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge and agree to our data practices as described in the Privacy Policy.
8. Service Availability and SLA
- We target 99.9% uptime for all production Services.
- Scheduled maintenance will be communicated at least 24 hours in advance.
- We are not liable for downtime caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AdamEtherzLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
- The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Indemnification
You agree to indemnify, defend, and hold harmless AdamEtherzLab, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Any data you upload or transmit through the Services
11. Termination
11.1 By You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at adam@adametherzlab.com. Cancellation takes effect at the end of the current billing period.
11.2 By Us
We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use policy
- Your payment method fails and is not resolved within 7 days
- We are required to do so by law
- Your use of the Services poses a security risk to us or other users
11.3 Effect of Termination
Upon termination, your access to the Services will cease immediately. You may request export of Your Data within 30 days of termination. After 30 days, we may delete Your Data permanently.
12. Dispute Resolution
- Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation.
- If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
- Arbitration shall take place in the State of Texas, United States.
- You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Texas.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and AdamEtherzLab regarding the Services.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
14.3 Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
14.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
